Challenge

Ukraine’s EU accession process requires a company law and corporate governance framework that is progressively aligned with the EU acquis. Further reforms are needed across company formation and disclosure, capital maintenance, domestic and cross-border mergers and divisions, company nullity, shareholder rights and takeover bids. Challenges also include improving corporate transparency, modernising electronic financial reporting, enabling digital access to company information and strengthening the institutional capacity needed to implement and enforce the rules. Alignment in accounting, audit, assurance and sustainability reporting is also important for reliable corporate information, investor confidence and integration with the EU Single Market.

Approach

The project will provide legal and technical assistance to the Ukrainian Government and relevant public institutions to review and strengthen the national framework against the EU company law and corporate governance acquis. Work will include mapping applicable EU legislation, assessing gaps in national laws and regulations, advising on legislative amendments and implementation measures, and supporting the relevant authorities through the approximation process.

The assignment will address company law, corporate governance and shareholder rights; corporate transparency and digitalisation; and accounting, audit, assurance and financial reporting. It will also support capacity building, stakeholder engagement and practical guidance so that reforms can be applied effectively. Digital work will consider interoperability with the EU Business Registers Interconnection System (BRIS), preparation for the Single Access Point (SAP), and electronic financial reporting requirements.

Goal and Results

The project’s intended goal is to help Ukraine establish a more coherent, transparent and EU-aligned legal and institutional framework for companies, corporate governance and financial reporting, supporting progress under EU accession Chapter 6. Expected results include: (1) identified legal and regulatory gaps and recommendations for alignment with the EU acquis; (2) support for the preparation or revision of relevant primary and secondary legislation; (3) stronger rules and institutional capacity concerning shareholder rights, corporate governance and takeover bids; (4) recommendations and support for improved corporate disclosure, digital processes and access to company and financial information; and (5) strengthened capacity for accounting, audit, assurance and sustainability reporting reforms.
